Demag Cranes welcomes announced improvement in Terex offer terms



  • Planned raising of the offer price from EUR 41.75 to EUR 45.50 per share represents a premium of 29.3 per cent over the three-month weighted average share price before the announcement of the tender offer


  • Business Combination Agreement secures wide-ranging independence for Demag Cranes and contains extensive guarantees to safeguard locations and jobs


Düsseldorf, 16 June 2011. Demag Cranes AG welcomes the announcement by Terex Industrial Holding AG that it will substantially increase the offer price of the voluntary public tender offer it submitted to the shareholders of Demag Cranes AG on 19 May 2011. A complete evaluation of the new offer terms will be presented by the Management Board and Supervisory Board of Demag Cranes AG in a supplementary statement pursuant to Section 27 of the German Securities Acquisition and Takeover Act (WpÜG) presumably until 22 June 2011. The increase in the offer price from EUR 41.75 to EUR 45.50 per share announced by Terex is part of a Business Combination Agreement signed today by Terex and Demag Cranes after the approval by their relevant boards. The agreement ensures broad operational and strategic autonomy to Demag Cranes even after Terex has acquired a majority interest in the company. The agreement additionally improves the offer document dated 19 May with regard to the intentions and objectives of the possible takeover, particularly with a view to the future strategy of Demag Cranes and the interests of the company’s stakeholders. Moreover, the document includes detailed commitments for the period after a possible integration of Demag Cranes into Terex Group. Demag Cranes’ Chief Executive Officer Aloysius Rauen: “Apart from a significant increase of the offer price, we achieved important assurances by Terex regarding the interests of our employees, which in total significantly improve the original offer.”

Specifically, the two parties agreed on the following points:

  • After a majority takeover by Terex, Demag Cranes will remain an independent operating segment within Terex Group pursuing its existing business activities. Strategic and operational responsibility for the business will remain with the management board.

  • Terex fully supports Demag Cranes’ strategy and will back its continued implementation in order to further strengthen the leading position of Demag Cranes in its current business segments. Besides the Management Board’s plan to develop the mid-market segment, this includes further expansion in emerging markets and notably the further pursuance of the planned strategic alliance between Demag Cranes and Weihua in China.


  • For a period of three years, Terex guarantees that it will not cause Demag Cranes to announce enforced redundancies as a direct result of the transaction. In addition, Terex pledges to fully uphold shop agreements and collective bargaining agreements as well as other employee rights.


  • Demag Cranes’ headquarters will remain in Düsseldorf. For Demag Cranes’ German production sites Wetter, Düsseldorf, Uslar and Luisenthal Terex gave a site preservation guarantee for five years.
  • The strong and successful brands Demag and Gottwald will be preserved.


  • As innovation and technology leader in its industry, Demag Cranes will continue to take responsibility for its research and development activities in the future.


  • Even after the possible acquisition of a majority shareholding and until the effectiveness of a Domination Agreement, Demag Cranes Group will retain its full financial autonomy, including decisions about the dividend policy.


  • After the proposed takeover, Demag Cranes will be represented by its CEO in the executive leadership team of Terex Group.


CEO Aloysius Rauen comments: “Also as part of the Terex Group, Demag Cranes will be able to further pursue its clear and successful growth strategy in the integrated structures we have built. We will additionally profit from access to international markets as well as the Terex Group’s network. Therefore, the transaction Terex intends to undertake will create value for all of our stakeholders.”

The new offer price proposed by Terex of EUR 45.50 per share represents a premium of 29.3 per cent over the three-month weighted average share price of Demag Cranes before the announcement of the tender offer and a premium of 53.5 per cent over the price on 6 October 2010, the last day before takeover speculations arose. A complete evaluation of the new offer conditions will be presented by the Management Board and Supervisory Board of Demag Cranes AG in a supplementary statement pursuant to Section 27 of the German Securities Acquisition and Takeover Act (WpÜG) presumably until 22 June 2011. Pending this opinion, however, the Management Board of Demag Cranes AG is confident based on today’s Business Combination Agreement that it will in total be able to recommend that the company’s shareholders accept the improved offer.

Demag DCM Manulift Electric Chain HoistThe DCM-Pro Manulift electric chain hoist is designed to handle loads quickly and safely with just one hand.  Based on Demag’s workhorse DC-Pro electric chain hoist, the DCM-Pro includes a DSM-C control unit that is securely connected to the hoist with a helical cable, and is then rigidly connected to a variety of load handling attachments.  It can be operated left-handed or right-handed, and the operator can operate the chain hoist and accurately guide the load with one hand.

Demag Cranes supplies Mobile Harbor Cranes to Canada for bulk handling

■ Port Technology segment’s position in bulk-handling market further consolidated
■ First Gottwald Mobile Harbour Cranes with 4-rope grabs for Canada

Düsseldorf, 7 June 2011. Demag Cranes has received an order to supply two Mobile Harbour Cranes to Canada. The two identical machines are 4-rope grab cranes for professional bulk handling. Vale Inco Limited (Vale), the second-largest mining and metals company in the world, a new Demag Cranes customer, will be using the cranes for handling nickel and limestone at its terminal in Long Harbour (southeast Newfoundland and Labrador).


“The bulk market offers tremendous potential and has, for some years, been a focal point in our Port Technology segment,” emphasised Thomas H. Hagen, Member of the Management Board of Demag Cranes AG and COO. “Around a quarter of the Gottwald Harbour Cranes sold last year are for professional bulk handling. The considerable strategic importance to Demag Cranes of the bulk-handling market is also reflected in the acquisition of the UK company DB Controls. That company has renowned capabilities in software and advisory services in the field of automating bulk-handling equipment. This acquisition has further extended our range of services in this key segment of the market.”

G HMK 6407 B Mobile Harbour Crane

The G HMK 6407 B Mobile Harbour Crane with the 4-rope grab is a variant of the Model 6 Harbour Crane. Designed to withstand the rigours of high-end use, Model 6 Harbour Cranes are for high-performance applications and thus achieve enhanced handling rates. This 4-rope grab G HMK 6407 B variant has a 50-tonne grab curve in A8 classification and, depending on the local conditions, achieves handling rates of up to 1000 tph. The machine can service bulk carriers up to Capesize.

Four-rope grab cranes for professional bulk handling
The 4-rope grab variant, designed specifically for the professional handling of bulk materials, has become a firm favourite worldwide among terminal operators at universal and special purpose terminals as an alternative to custom-built equipment. Customers profit from low specific investment costs for acquisition, operation and creation of the entire quay infrastructure and short delivery and erection times. For individual requirements, special equipment, e.g. dust protection systems, are available. The 4-rope grab variant of the Gottwald Mobile Harbour Crane, as well as the Portal Harbour Cranes and Floating Cranes derived from it, still retains its versatility. Equipped with a broad range of lifting gear, these machines can load and unload any type of cargo.

G HMK 6407 B for Vale, Canada
The two new G HMK 6407 B Gottwald cranes for Vale are to enter service early in 2012 in Long Harbour in the southeast of Newfoundland and Labrador and will handle nickel and limestone.

Like all other Gottwald Harbour Cranes, these two machines are fitted with the Visumatic® crane management system. Among the many extras included there is an active anti-dust system, a specially customised propping system and a high tower. The scope of supply also includes four large grabs, an automatic spreader and a fixed spreader.


The decision to opt for Gottwald’s 4-rope grab crane was influenced by the convincing state-of-the-art technology available from Demag Cranes and the fact that a large number of these crane variants have been in use worldwide in the most diverse terminals for some years.

KBK Workstation Crane Enhancement.

Demag will Demag KBK Crane Construction Kitbe introducing an addition to our popular KBK workstation crane construction kits that increases load capacity and spanning capability. The new track profile will work for both suspension cranes and monorails.
The addition to the traditional system is KBK II-H’s steel profile section that will fit between the KBK II and KBK III size sections, while remaining compatible with existing systems. The KBK II-H profile makes it possible to increase distances between suspensions on crane runways for spans of up to 28 feet and loads more than 1200 lb. The section also features a rigid rail joint capable of being subjected to a full load at any track position. The track will continue to provide reliable overhead material handling, smooth running for trolleys, and pendulating suspension that absorbs horizontal movement.
It will feature compatible KBK parts such as travelling, extending and overhead cranes. Demag’s modular crane construction kit is designed for adaptability. The structure is lightweight and the bridges are flexible. Demag says it is relatively easy to assemble.

Designed with safety, convenience and low maintenance in mind, the entire family of DCS-Pro chain hoists includes as standard 24V control voltage and operating limit switches for improved safety and reliability, a brake-coupling system which ensures that loads are held securely in all operating situations, and a speed monitored slipping clutch for effective cut-off on overload allow safe operation.  The DCS also comes standard with "plug & lift" connections that make the hoist simple to install, while the gearbox, brake and slipping clutch are maintenance-free for up to 10 years, while the modular chain drive can be quickly and easily replaced without having to remove the motor or gear parts.

Demag Cranes & Components is the first manufacturer to receive the Hoist Manufacturer Institute’s (HMI) Certification for its DC line of electric chain hoists.  HMI is a trade association affiliated with the Material Handling Industry of America (MHIA).
The DC-Com is available in 5 different capacities ranging from 275 lbs (125 kg) up to 4400 lbs (2000 kg).  All models easily connect to a variety of Demag’s popular trollies and electric trolley drives, and are easily integrated with the Demag KBK crane construction rail system.
Ergonomic features include a control cable with ten feet of adjustment for optimum pendant positioning, a single fall                    chain design and upper and lower limit switch.  



Demag DC-Pro Electric Chain HoistOur line of DC-Pro electric chain hoists includes many standard safety and performance features that allow users to achieve superior levels of performance, safety and productivity through reduced downtime, increased duty cycles, easy maintenance and improved ergonomics.  This hoist iscertified by HMI ( Hoist Manufacturers Institute ) to meet the ANSI B30.16 and ASME HST 1 -1999 design and safety standards for electric chain hoists.
Unique to the DC-Pro is an extended service life; a 20% improvement in comparison to conventional HMI 4 or 2m FEM classified chain hoists. This results in increased time between service intervals and general overhauls.  Many components are maintenance free for up to 10 years.  These features allow the hoist to be more productive and result in lower operating costs. 
Safety features include brakes that do not require adjustment and clutches that provide protection against overload and slippage.  The brake-coupling system ensures that the load is held securely in position and cannot drop.  The slip clutch monitor automatically shuts the hoist down if the slip clutch torque is exceeded, preventing the slip clutch from wearing out due to operator error.
The DC-Pro Chain Hoist is available in 275 - 11,000 lb. capacities with two different control configurations: standard with a pendant control or as the DCM-Pro with Demag’s Manulift control pendant for safe and easy handling of loads with only one hand.

Demag Pre-Engineered Crane KitsOur pre-engineered bridge crane single girder crane kits are available in either top running or under running configurations that allow installers to do their own on-site bridge crane assembly.  The kits are shipped complete with all necessary components except the steel beams, which can be purchased locally to save freight cost.

The bridge crane kit comes complete with all components including a wire rope hoist, end trucks, bridge panel, festoon system with brackets and push button station.  All bridge crane, crane kits are “plug and play” and no electrical work is required.  The kits can typically be assembled in less than 21 hours, an extremely fast rate for the crane industry.
